1. ACCEPTANCE OF TERMS

  • "Client" or "you" refers to the individual or entity accessing our services
  • "GCC" refers to the Gulf Cooperation Council member states

3. SERVICES

3.1 Service Description

We provide digital performance and marketing services including but not limited to:

  • Digital strategy development
  • Performance marketing campaigns
  • Search engine optimization (SEO)
  • Pay-per-click advertising (PPC)
  • Social media marketing
  • Content creation and marketing
  • Analytics and reporting
  • Conversion rate optimization
  • Marketing automation

3.2 Service Availability

Our services are available to businesses operating within the GCC region. We reserve the right to refuse service to anyone for any reason at any time.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

4. CLIENT OBLIGATIONS

4.1 Accurate Information

You agree to provide accurate, current, and complete information as required for the provision of services and to maintain and promptly update such information.

4.2 Compliance

You agree to comply with all applicable laws and regulations of the UAE and your jurisdiction, including but not limited to:

  • UAE Federal Law on Combating Cybercrimes
  • Data Protection Regulations
  • Advertising Standards
  • E-commerce Regulations
  • Intellectual Property Laws

4.3 Cooperation

You agree to cooperate with us in the provision of services, including providing necessary access to systems, information, and approvals in a timely manner.

5. FEES AND PAYMENT

5.1 Service Fees

Service fees will be as agreed in the service agreement or proposal. All fees are quoted in AED unless otherwise stated.

5.2 Payment Terms

Payment terms are net 30 days from invoice date unless otherwise agreed in writing. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by UAE law, whichever is lower.

5.3 VAT and Taxes

All fees are exclusive of VAT and other applicable taxes, which will be added at the prevailing rate as required by UAE law.

5.4 Refund Policy

Refunds are handled on a case-by-case basis as outlined in individual service agreements. Setup fees and completed work are generally non-refundable.

6. INTELLECTUAL PROPERTY

6.1 Company Intellectual Property

All content on this website, including text, graphics, logos, images, audio clips, and software, is the property of the Company or its content suppliers and is protected by UAE and international copyright laws.

6.2 Client Intellectual Property

You retain all rights to your pre-existing intellectual property. You grant us a license to use your intellectual property as necessary to provide the services.

6.3 Work Product

Unless otherwise agreed in writing, all work product created by us for you shall become your property upon full payment of all fees due.

6.4 License to Use

We retain the right to use anonymized performance data and case studies for marketing purposes unless specifically prohibited in writing.

7. CONFIDENTIALITY

7.1 Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party during the provision of services.

7.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly known through no breach of these terms
  • Is rightfully received from a third party
  • Is required to be disclosed by law or court order

8. DATA PROTECTION AND PRIVACY

8.1 Compliance

We comply with applicable data protection laws in the UAE and GCC region. Our data handling practices are detailed in our Privacy Policy.

8.2 Data Processing

By using our services, you consent to the collection and use of information as outlined in our Privacy Policy.

8.3 Cross-Border Transfer

You acknowledge that data may be processed and stored in various GCC countries as necessary for service provision.

9. WARRANTIES AND DISCLAIMERS

9.1 Service Warranty

We warrant that services will be provided in a professional and workmanlike manner consistent with industry standards.

9.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.3 No Guarantee of Results

We do not guarantee specific results from our services. Digital marketing performance depends on numerous factors beyond our control.

10. LIMITATION OF LIABILITY

10.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE SIX MONTHS PRECEDING THE CLAIM.

10.2 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these terms
  • Your violation of any third-party rights
  • Any content or information you provide to us

12. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performing obligations under these terms due to circumstances beyond reasonable control, including but not limited to:

  • Acts of God
  • Natural disasters
  • War or terrorism
  • Riots or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Pandemic or epidemic

13. DISPUTE RESOLUTION

13.1 Negotiation

Parties agree to attempt to resolve disputes through good faith negotiation before pursuing formal proceedings.

13.2 Arbitration

If negotiation fails, disputes shall be resolved through arbitration under the rules of the Dubai International Arbitration Centre (DIAC).

13.3 Jurisdiction

These terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between the parties.

14.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

No waiver of any term or condition shall be valid unless in writing and signed by the waiving party.

14.4 Assignment

You may not assign your rights or obligations under these terms without our prior written consent.

14.5 Notices

All notices shall be in writing and delivered to the addresses specified in the service agreement or via email to designated contacts.

14.6 Language

These terms may be provided in Arabic and English. In case of discrepancy, the English version shall prevail unless required otherwise by UAE law.

15. SPECIFIC TERMS FOR GCC OPERATIONS

15.1 Regional Compliance

Services provided in different GCC countries shall comply with local regulations of those jurisdictions.

15.2 Cultural Sensitivity

All services shall be provided with respect for local cultural values and customs of the GCC region.

15.3 Shariah Compliance

Where requested, we can ensure marketing materials and strategies comply with Islamic principles.

16. AMENDMENTS

We reserve the right to modify these terms at any time. Material changes will be notified via email or website notice. Continued use of services after changes constitutes acceptance of modified terms.
